Buy/Sell Arrangements in LLCs—OSB CLE Quick Call
Brought to you in partnership with Webcredenza, a professional education broadcast network

1 General CLE credit
One of the most important questions for business owners and investors is how to get liquidity when they want to leave the business. Buy/sell agreements that provide a method for valuing ownership interests, define the timing and triggering events for allowable sales, and, perhaps most importantly, provide reliable mechanisms to fund the sale and purchase are among the most important documents in a business relationship. This program provides you with a practical guide to the most essential tax and nontax considerations in drafting durable buy/sell agreements to ensure liquidity for your clients’ businesses.
- How corporate buy/sell agreements differ from LLC/partnership buy/sell agreements
- Objective valuation techniques and avoiding disputes
- Funding the buyout—“key man” insurance, cross-purchases, entity redemptions, loans, and more
- Major tax issues depending on whether the business is service-based or capital-intensive
- Drag-along and tag-along rights
