Brought to you in partnership with Webcredenza, a professional education broadcast network

1 General CLE credit
Every business owner or investor ultimately wants to withdraw cash or other property from the business—in the most tax-efficient manner possible. How to obtain this ongoing liquidity informs the business’s choice of entity and how its economics are structured. There are many techniques for achieving ongoing liquidity—compensation, redemptions, distributions in one form or another, and more. But each technique comes with its own set of tax challenges, which vary depending on the type of entity—pass-through or incorporated—and the type of business or industry involved. This program provides a practical guide to planning for the tax-efficient withdrawal of cash and other property from a business.
- Differences in withdrawing cash and property between corporate and pass-through entities
- Use of various forms of distributions, redemptions, and other payments
- Compensation issues in S corporations versus C corporations versus LLCs
- Tax and financial impact at the entity and owner/investor level
- Operating considerations depending on the form of withdrawal
Speaker: Brian J. O’Connor is a partner in the Baltimore office of Venable LLP, where he is cochair of the firm’s tax and wealth planning group.
