Bsiness lawyers confront many competing and sometimes conflicting demands on their professional advice—all of which can give rise to difficult ethical challenges. Increased regulatory scrutiny of businesses and the growing prevalence of internal investigations have served to increase pressure on business lawyers, too. This program reviews the sources of ethical rules for business lawyers and the substantial ethical issues that arise in business law practice. The program also discusses practical techniques for resolving ethical tensions when the organization’s legal interests may substantially diverge from its officers’ and ethically sound practices in the conduct of internal investigations.

  • Practical tensions between organizational interests and officers’ interests
  • Reporting wrong-doing to boards of directors and to outside authorities

Speakers: John Miller is a partner in the Charlotte, North Carolina, office of Robinson Bradshaw & Hinson P.A, where his practice encompasses corporate and securities law, mergers and acquisitions, banking and finance, and construction law.

Peter C. Buck is a partner in the Charlotte, North Carolina, office of Robinson Bradshaw & Hinson P.A., where his practice focuses on mergers and acquisitions, energy law, banking, and finance. Earlier in his career, he served as deputy general counsel of Duke Energy Corporation. He has served as chair of the corporations committee of the North Carolina Bar Association Business Law Section.
