Property Taxes in Real Estate Transactions—OSB CLE Quick Call
Brought to you in partnership with Webcredenza, a professional education broadcast network

1 General CLE credit
Property taxes of every kind can have a substantial economic impact on commercial real estate transactions. Whether conventional property taxes that are assessed and reassessed over time or transfer taxes that are due on the transfer or exchange of property, they are often murky in scope and misunderstood even though their economic impact can be substantial. This program provides the non–tax specialist with a practical guide to the types of property and transfer taxes in real estate transactions, how and when they are applied, their impact on the underlying transaction and its documentation, and planning opportunities.
- Types of property and transfer taxes that impact real estate transactions
- Scope and timing of application—and who is responsible for the taxes
- Economic impact on underlying transactions
- Documentation issues, including allocation of liability
- Transfer tax planning opportunities, including allocations and exemptions
Speaker: Carolyn Joy Lee is a partner in the New York City office of Jones Day LLP, where she has an extensive state and local taxation practice, including planning for corporate mergers and acquisitions, partnerships, and LLCs. She also focuses on workouts and bankruptcy issues in the context of state and local taxation. She served as chair of the Tax Section of the New York State Bar Association and as chair of the State and Local Tax Committee of the Association of the Bar of the City of New York. She is a member emeritus of the New York City Tax Forum and a Fellow of the American College of Tax Counsel.
